Job Summary

Direct Counsel is hiring a Mergers & Acquisitions Resource Attorney in New York City, New York. This non‑client‑facing position supports a top‑ranked law firm’s M&A group with research, precedent development, and knowledge‑management tasks.

Key Responsibilities

• Maintain and update the firm’s transaction database, ensuring accurate entry of deal details, timelines, and outcomes.
• Conduct comprehensive legal research on M&A statutes, regulations, and case law to support ongoing transactions.
• Develop, organize, and curate precedent documents, checklists, and templates for use by partners and associates.
• Assist in knowledge‑management initiatives, including drafting internal memoranda, briefing notes, and best‑practice guides.
• Collaborate with the M&A team across New York, Palo Alto, and San Francisco offices to streamline workflow and improve data consistency.
• Monitor changes in corporate law and provide timely updates to the practice group.
• Support post‑closing integration efforts by tracking compliance obligations and filing requirements.

Required Qualifications

• Juris Doctor (JD) from an accredited law school.
• Admission to the New York State Bar (or eligibility to be admitted).
• 2+ years of experience in corporate law, preferably within a mergers and acquisitions practice.
• Strong legal research skills and proficiency with Westlaw, LexisNexis, or similar platforms.
• Excellent written communication and document‑drafting abilities.
• Detail‑oriented with strong organizational and analytical skills.
• Experience with legal knowledge‑management systems (e.g., iManage, HighQ) is a plus.

Compensation & Benefits

Base salary: $111,296.72 annually. Competitive benefits package includes health, dental, vision, 401(k) match, and generous paid time off.
