Corporate Incentives Senior Attorney (Professional Track)

Direct Counsel is hiring a Corporate Incentives Senior Attorney (Professional Track) for its Baltimore, Maryland office. This senior role supports a top Am Law 100 firm with complex tax and incentive structures.

Key Responsibilities

• Lead corporate incentives matters, including R&D tax credits, energy incentives, and other federal, state, and local programs.
• Advise client senior leadership on strategy, compliance, and risk mitigation.
• Draft and negotiate incentive agreements, contracts, and related documentation.
• Coordinate with internal tax, finance, and accounting teams to ensure accurate reporting.
• Mentor junior attorneys and oversee their work product.
• Stay current on evolving incentive legislation and case law.

Required Qualifications

• J.D. from an accredited law school and active bar membership in Maryland (or ability to be admitted).
• Minimum 8 years of experience handling corporate incentives, tax credits, and related transactions.
• Demonstrated experience with Am Law 100 clients or large corporate matters.
• Strong analytical, drafting, and negotiation skills.
• Excellent communication and client service abilities.

Preferred Experience

• Experience in multiple jurisdictions across the United States.
• Background in M&A, private equity, or venture capital transactions involving incentive structures.
• Proven track record of developing incentive strategies that result in measurable tax savings.

Compensation

Base salary: $203,402.56 annually.
