Associate Legal Counsel – Corporate Trust (Remote Hybrid)

Key Responsibilities

• Review, analyze, and comment on structured finance documents, escrow agreements, municipal and corporate bond notes, and related transaction paperwork.
• Draft and propose amendments to protect Corporate Trust’s interests and ensure regulatory compliance.
• Provide legal advice to internal stakeholders on trust structures, risk mitigation, and transaction strategy.
• Collaborate with finance, operations, and external counsel to facilitate smooth deal execution.
• Stay current on federal and state securities regulations, trust law developments, and industry best practices.

Required Qualifications

• Juris Doctor (J.D.) from an accredited law school and active bar admission in at least one U.S. jurisdiction.
• 2–4 years of experience in corporate trust, structured finance, or related securities practice.
• Strong drafting and analytical skills with attention to detail.
• Excellent communication and negotiation abilities.
• Proficiency with legal research tools and Microsoft Office suite.

Preferred Experience

• Experience with municipal bond issuances, escrow arrangements, or asset‑backed securities.
• Familiarity with U.S. Trust and Banking regulations.
• Ability to work independently in a remote/hybrid environment.
