About This Position
Job Summary
UMB Bank is seeking an Associate Legal Counsel – Corporate Trust to join its hybrid/remote team based in Five Points, Wake County, US. This role focuses on structured finance, escrow, municipal and corporate bond transactions, ensuring the bank’s interests are protected.
Key Responsibilities
- Review, analyze, and comment on structured finance documents, escrow agreements, municipal and corporate bond and note documentation.
- Draft and negotiate amendments to transaction agreements to mitigate risk and align with corporate trust policies.
- Provide legal advice to internal stakeholders on corporate trust transactions, including regulatory compliance and fiduciary duties.
- Collaborate with senior counsel, finance teams, and external counsel to resolve complex legal issues.
- Maintain up‑to‑date knowledge of federal and state securities laws, trust regulations, and industry best practices.
- Prepare concise legal memoranda, risk assessments, and briefing materials for senior management.
- Support due‑diligence efforts and assist in the closing of trust transactions.
Requirements
- Juris Doctor (JD) from an accredited law school and active bar admission in at least one US jurisdiction.
- 2–5 years of experience in corporate trust, structured finance, or securities law.
- Strong analytical skills with the ability to interpret complex transaction documents.
- Excellent written and verbal communication skills.
- Proficiency with legal research tools and Microsoft Office suite.
- Ability to work independently in a hybrid/remote environment while maintaining strong team collaboration.
Compensation
Annual salary: $105,885.86
