Key Responsibilities
- Draft, negotiate, and close structured finance agreements, including asset‑backed securities, revolving credit facilities, and project finance documents.
- Provide legal advice to corporate clients, lenders, and investors on regulatory compliance, risk mitigation, and transaction structuring.
- Collaborate with senior partners, finance teams, and external counsel to develop innovative financing solutions.
- Conduct due diligence, prepare memoranda, and manage document production for large‑scale deals.
- Stay current on evolving securities laws, banking regulations, and market trends to advise clients effectively.
Required Qualifications
- Juris Doctor (JD) from an accredited U.S. law school.
- Admission to the California State Bar and active license to practice.
- 2–4 years of post‑law school experience in structured finance, securities, or related banking practice.
- Strong analytical, drafting, and negotiation skills with attention to detail.
- Ability to manage multiple high‑stakes transactions simultaneously and meet tight deadlines.
