Associate Legal Counsel – Corporate Trust (Remote Hybrid)

Job Summary

UMB Bank is seeking an Associate Legal Counsel – Corporate Trust to join its team in Cammack Village, Pulaski County (remote‑hybrid). This role focuses on structured finance, escrow, municipal and corporate trust transactions, ensuring UMB’s interests are protected.

Key Responsibilities

• Review, analyze, and provide comments on structured finance documents, escrow agreements, municipal bond and note documentation, and other corporate trust transaction materials.
• Draft and negotiate amendments, side letters, and other contractual provisions to mitigate risk and align with regulatory requirements.
• Advise internal stakeholders—including trust officers, product managers, and senior leadership—on legal implications of trust structures and financing arrangements.
• Collaborate with external counsel and counterparties to resolve complex legal issues and ensure timely closing of transactions.
• Monitor changes in federal and state securities laws, trust regulations, and industry best practices; proactively update internal policies.
• Support the preparation of board and committee materials, including legal memoranda and risk assessments.
• Participate in cross‑functional projects, such as technology implementations and process improvements, to enhance the Corporate Trust workflow.

Required Qualifications

• Juris Doctor (JD) from an accredited law school and active bar admission in at least one U.S. jurisdiction.
• 2–5 years of experience drafting and negotiating structured finance, escrow, municipal bond, or corporate trust agreements.
• Strong analytical skills with the ability to interpret complex financial documents and regulatory guidance.
• Excellent written and verbal communication skills; ability to convey legal concepts to non‑legal audiences.
• Proficiency with standard legal research tools and Microsoft Office Suite; experience with document management systems is a plus.
• Self‑motivated, detail‑oriented, and comfortable working in a hybrid environment with occasional on‑site meetings in Cammack Village.

Compensation & Benefits
